1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the website and services provided by VERITAS GLOBAL LTD ("VERITAS GLOBAL", "we", "us" or "our"), a company registered in England and Wales under company number 16814288. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use our website or services.
2. Services provided
VERISTAS GLOBAL provides IT consulting, website development, cloud infrastructure, business automation, custom software, technical support, cybersecurity consulting and digital transformation services. The specific scope, deliverables and timelines applicable to a given engagement will be set out in a separate statement of work, proposal or order form ("Engagement Document"), which forms part of the agreement between us and prevails over these Terms in case of conflict.
3. Payment terms
Fees are payable in pounds sterling (GBP) unless otherwise agreed. Unless otherwise stated in the Engagement Document, invoices are due within 14 days of issue. Late payments may incur interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998. All fees are exclusive of VAT and other applicable taxes, which will be charged where required.
Subscription-based services (including maintenance plans) renew automatically at the end of each billing period unless cancelled before renewal. You may cancel at any time, with the cancellation taking effect at the end of the then-current billing period.
4. Refund policy
Project-based fees are non-refundable once work has commenced, except where required by law. For monthly subscription services, you may cancel at any time and will not be charged for subsequent billing periods; however, fees already paid for the current period are non-refundable.
If you believe a service has not been delivered substantially in accordance with the Engagement Document, please contact us within 14 days of delivery. We will work in good faith to remedy any verified shortcoming.
5. Intellectual property
All content on our website — including text, graphics, logos, software and designs — is owned by or licensed to VERITAS GLOBAL and is protected by intellectual property laws.
On full payment of the applicable fees, ownership of bespoke deliverables created specifically for you under an Engagement Document will transfer to you, save that we retain ownership of: (i) any pre-existing materials, tools, frameworks or know-how; and (ii) general knowledge, skills and experience gained during the engagement. We grant you a perpetual, non-exclusive licence to use any such retained materials embedded in the deliverables solely for your internal business purposes.
6. User responsibilities
You agree that you will:
- Provide accurate and complete information in connection with our services;
- Co-operate in good faith and provide timely access to materials, systems and personnel reasonably required for us to perform the services;
- Comply with all applicable laws and regulations in your use of our website and services;
- Not use our website or services for any unlawful, fraudulent or harmful purpose;
- Not attempt to gain unauthorised access to, interfere with or disrupt our systems or networks;
- Maintain appropriate backups of your own data and systems.
7. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the services, and to use such information only for the purpose of performing or receiving the services. This obligation continues for three years after termination of the engagement.
8. Warranties and disclaimers
We warrant that our services will be performed with reasonable skill and care, in accordance with generally accepted industry standards. Except as expressly set out in these Terms or the Engagement Document, all warranties, conditions and other terms implied by statute or common law are excluded to the fullest extent permitted by law.
Our website and any third-party content are provided "as is" without warranty of any kind.
9. Limitation of liability
Nothing in these Terms shall limit or exclude either party's liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be limited or excluded by law.
Subject to the foregoing, our total aggregate liability arising out of or in connection with these Terms or any engagement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the liability.
Neither party shall be liable for any indirect, special, incidental or consequential losses, including loss of profits, loss of revenue, loss of business, loss of goodwill or loss of data.
10. Termination
Either party may terminate an engagement on 30 days' written notice, unless a different notice period is agreed in the Engagement Document. Either party may terminate immediately if the other party: (i) commits a material breach of these Terms which is not remedied within 14 days of written notice; or (ii) becomes insolvent or enters into any form of insolvency proceeding.
On termination, you will pay all fees accrued up to the effective date of termination. Provisions which by their nature should survive termination — including confidentiality, intellectual property, limitation of liability and governing law — shall continue in full force.
11. Force majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, industrial action, internet or utility outages, epidemic or government action.
12. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
13. General
These Terms, together with any Engagement Document, constitute the entire agreement between the parties in relation to their subject matter. If any provision is held to be unenforceable, the remaining provisions shall continue in full force. No waiver of any breach shall constitute a waiver of any subsequent breach.
We may update these Terms from time to time. The updated Terms will be posted on this page with the "Last updated" date below.
